Website content describes our capabilities generally. It is not a binding offer for a specific project, timeline, or price unless confirmed in writing.
3. Use of the Website
You may use the website for lawful business and personal informational purposes. You agree not to:
- Attempt to disrupt, overload, or gain unauthorised access to the website or related systems
- Use automated means to scrape or harvest site content without permission
- Submit false, misleading, or harmful information through contact forms or email
- Use the website in any way that violates applicable law
4. Enquiries and Proposals
Submitting a project enquiry does not create a client relationship. Any proposal, estimate, or timeline we provide is based on the information available at the time and may change once requirements are clarified.
Work begins only after mutual written acceptance of scope, commercial terms, and any required deposits.
5. Project Services
For contracted work:
- Scope, deliverables, assumptions, and timelines are defined in the applicable agreement or proposal
- Changes outside agreed scope may require revised timelines and fees
- You are responsible for providing timely feedback, content, access, and decisions needed to progress the work
- Delays caused by missing information, approvals, or third-party systems may affect delivery dates
6. Payments
Fees, payment schedules, and accepted methods are stated in the relevant proposal, invoice, or agreement. Unless otherwise agreed in writing:
- Invoices are payable by the due date shown
- Late payment may pause work or delay delivery
- Deposits are generally non-refundable once work has started, except where required by law or expressly agreed
- Published website prices, if any, do not automatically apply to custom project work
7. Intellectual Property
Website content
Unless otherwise noted, website text, design, graphics, logos, and other materials are owned by LimeTechSolution or its licensors and may not be copied or reused without written permission.
Project deliverables
Ownership of custom project deliverables is governed by the applicable project agreement. In general, upon full payment, clients receive the agreed rights to the commissioned work. LimeTechSolution retains rights to pre-existing tools, libraries, frameworks, know-how, and generic components used to deliver the work, and may reuse non-confidential methods and experience in other projects.
Third-party software, fonts, stock assets, plugins, and open-source components remain subject to their own licences.
8. Client Materials and Third-Party Services
You represent that you have the rights needed to provide materials, data, and access you give us, and that using them will not infringe third-party rights. You are responsible for third-party accounts, licences, hosting plans, app store accounts, and platform terms required for your project unless we expressly agree to manage them for you.
9. Confidentiality
Each party should treat non-public business and technical information shared during an engagement as confidential and use it only for the project, except where disclosure is required by law or the information is already public through no fault of the receiving party.
10. Warranties and Disclaimers
The website is provided on an “as is” and “as available” basis. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components.
For project services, warranties — if any — are limited to those stated in the applicable agreement. Except as expressly agreed in writing, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law.
11. Limitation of Liability
To the fullest extent permitted by law, LimeTechSolution and its officers, employees, and contractors are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising from use of the website or our services.
Where liability cannot be excluded, our total liability for claims relating to the website is limited to the amount you paid us (if any) for website-related services in the three months before the claim. Project liability is governed by the applicable project agreement.
12. Indemnity
You agree to indemnify and hold LimeTechSolution harmless from claims arising out of your misuse of the website, your breach of these Terms, or materials and instructions you provide for a project, except to the extent caused by our wilful misconduct.
13. Termination
We may suspend or terminate access to the website or decline further work if you breach these Terms or applicable law. Project termination rights and payment consequences are set out in the relevant agreement.
14. Governing Law
These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles. Courts located in New York shall have exclusive jurisdiction over disputes arising from these website Terms, except where a project agreement specifies otherwise.
15. Changes to These Terms
We may update these Terms from time to time. The effective date at the top of this page will change when we do. Continued use of the website after an update constitutes acceptance of the revised Terms.
